- Comply with all applicable laws, regulations, codes of practice, and industry standards relating to agriculture, pesticides, fertilisers, waste, health and safety, environmental protection, and data use;
- Use any advice, recommendations, plans, maps, analyses, or reports provided by Greenfield Arable Solutions Ltd at their own discretion and risk, with due consideration of current conditions and professional judgement;
- Promptly notify us of any changes that may affect service delivery, including weather conditions, field access restrictions, contamination, pest outbreaks, disease pressure, machinery faults, or safety issues;
- Ensure that any products, applications, or operations carried out on the basis of our advice are performed only by appropriately competent and authorised persons.
The client is responsible for verifying that information provided to us is accurate and suitable for the intended purpose. Greenfield Arable Solutions Ltd shall not be responsible for losses arising from inaccurate, incomplete, misleading, or withheld information supplied by the client or third parties.
4. Payment terms and conditions
Fees for services shall be as set out in our quotation, service agreement, invoice, or other written confirmation. Unless otherwise stated, all prices are exclusive of VAT and any applicable taxes, duties, levies, travel expenses, accommodation costs, sampling costs, laboratory fees, subcontractor charges, or other third-party expenses.
- Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
- Greenfield Arable Solutions Ltd may require a deposit or advance payment before work begins.
- Late payments may accrue interest at the statutory rate or, where lawful, at a reasonable commercial rate from the due date until payment is received in full.
- We reserve the right to suspend or withhold services, reports, recommendations, or deliverables until overdue amounts are paid.
- The client shall be responsible for all reasonable costs incurred in recovering overdue amounts, including legal fees, collection costs, and administrative charges where permitted by law.
Any dispute regarding an invoice must be raised in writing within 7 days of the invoice date, clearly stating the reasons for the dispute. Undisputed amounts must be paid when due.
5. Cancellation and refund policy
The client may cancel a booking by giving written notice to Greenfield Arable Solutions Ltd. Cancellation charges may apply depending on the amount of notice given, the nature of the service, and any costs already incurred.
- Where cancellation is made after work has been scheduled or preparatory work has begun, the client may be charged for all reasonable time, labour, travel, materials, sampling, and third-party costs already incurred.
- Where the service involves seasonal or weather-dependent work, cancellations or rescheduling may be subject to additional charges if resources have been reserved or mobilised.
- Any non-refundable deposits will be retained to the extent permitted by law.
- Refunds, where due, will only apply to services not yet performed and will not include costs already incurred or committed.
Greenfield Arable Solutions Ltd may cancel or reschedule services where required by unsafe conditions, legal restrictions, extreme weather, equipment failure, staff illness, or other circumstances beyond our reasonable control. In such cases, we will use reasonable efforts to rearrange the service at a mutually convenient time. This does not create an automatic right to a refund unless required by law or expressly agreed in writing.
6. Liability limitations
Nothing in these Terms of Service excludes or limits liability where such exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to the foregoing, Greenfield Arable Solutions Ltd shall not be liable for:
- Indirect, incidental, special, exemplary, or consequential losses;
- Loss of profit, loss of revenue, loss of anticipated savings, loss of production, loss of yield, loss of goodwill, or loss of business opportunity;
- Losses arising from adverse weather, disease, pest pressure, machinery breakdown, market changes, regulatory changes, or third-party actions;
- Losses caused by the client’s failure to follow advice, implement recommendations, or maintain suitable agronomic, operational, or safety standards;
- Losses resulting from inaccurate data, hidden defects, contaminated samples, inaccessible fields, or information supplied by the client or third parties.
To the fullest extent permitted by law, the total aggregate liability of Greenfield Arable Solutions Ltd arising out of or in connection with any service, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall be limited to the amount paid or payable by the client for the specific service giving rise to the claim.
Any claim must be notified to us in writing within a reasonable time after the issue first arose and, in any event, no later than 12 months after the relevant service was provided, unless a longer period is required by law.
7. Intellectual property rights
All intellectual property rights in materials created, supplied, or used by Greenfield Arable Solutions Ltd, including reports, templates, methodologies, checklists, maps, recommendations, calculations, presentations, analyses, photographs, and written content, shall remain the property of Greenfield Arable Solutions Ltd or its licensors unless expressly transferred in writing.
Upon full payment of all sums due, the client is granted a non-exclusive, non-transferable licence to use the deliverables solely for their internal business purposes in relation to the relevant holding, farm, or operations for which the services were supplied.
The client must not, without our prior written consent:
- Copy, reproduce, publish, distribute, sell, or sublicense our materials;
- Modify or adapt our materials for external commercial use;
- Use our brand, name, logo, or documents in marketing or publication materials;
- Reverse engineer or extract proprietary methods where applicable.
8. Data protection and privacy
Greenfield Arable Solutions Ltd will process personal data in accordance with applicable data protection laws. We may collect, use, store, and otherwise process personal data relating to clients, employees, contractors, site contacts, and other relevant individuals for the purpose of providing services, managing accounts, maintaining records, ensuring health and safety, complying with legal obligations, and improving service quality.
We will take reasonable technical and organisational measures to protect personal data from unauthorised access, loss, misuse, alteration, or disclosure. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
We may share personal data with third-party service providers, laboratories, software platforms, advisers, subcontractors, or authorities where reasonably necessary for service delivery or where required by law. Any such sharing will be done in accordance with applicable legal obligations.
Further information about how Greenfield Arable Solutions Ltd handles personal data may be provided in a separate privacy notice. If there is any inconsistency between these Terms of Service and a privacy notice regarding data protection matters, the privacy notice shall prevail to the extent of the inconsistency.
9. Force majeure
Greenfield Arable Solutions Ltd shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to extreme weather, flood, drought, fire, floodwater, disease outbreaks, pest infestations, industrial disputes, transport disruption, equipment failure, utility failure, acts of government, legal restrictions, accidents, war, civil unrest, or interruptions to telecommunications or software services.
Where a force majeure event occurs, we will use reasonable efforts to resume performance as soon as reasonably practicable. If the event continues for an extended period, either party may have the right to terminate the affected services by written notice, subject to payment for work already performed and costs reasonably incurred.
10. Changes to terms
Greenfield Arable Solutions Ltd may update or amend these Terms of Service from time to time to reflect changes in law, business practices, service offerings, or operational requirements.
The updated terms will apply from the date they are published or otherwise communicated to the client, unless a later effective date is stated. Continued use of our services after any amendment constitutes acceptance of the revised terms.
Where an existing written service agreement expressly states different terms, those agreed terms shall prevail for that specific engagement.
11. Applicable law and jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or formation shall be governed by and construed in accordance with the laws of England and Wales.
